These Terms and Conditions ("Terms") govern your engagement with MidniteAI Ltd ("MidniteAI", "we", "us", or "our"), a company registered in England and Wales. By engaging our services you agree to these Terms in full.

MidniteAI provides AI automation services for service-based businesses, including but not limited to AI voice receptionist systems, AI-powered websites, chatbots, and lead generation automation. The specific scope of services will be agreed in writing prior to commencement of any project.
Our payment structure is as follows:
All prices are exclusive of VAT unless otherwise stated. Invoices are due within 14 days of issue. Late payments may incur interest at the statutory rate under the Late Payment of Commercial Debts (Interest) Act 1998.
The monthly retainer is subject to a minimum term of 3 months from the date the system goes live. Following the minimum term, the retainer continues on a rolling monthly basis until cancelled in accordance with clause 5.
Either party may cancel the retainer agreement by providing a minimum of 30 days' written notice. Notice must be sent by email to hello@midniteai.co.uk. Cancellation within the minimum term will result in the remaining monthly fees for that term becoming immediately due and payable.
Upon receipt of all payments due, the client is granted a licence to use the deliverables for their business purposes. MidniteAI retains ownership of all underlying frameworks, tools, and proprietary methodologies used in the delivery of services. Any bespoke code or systems developed specifically for the client will be agreed in the project proposal.
Both parties agree to keep confidential any proprietary or sensitive information disclosed during the engagement. This obligation continues for a period of 2 years after the termination of the agreement.
MidniteAI's total liability to the client in respect of any claim arising out of or in connection with these Terms shall not exceed the total fees paid in the 3 months preceding the claim. MidniteAI shall not be liable for any indirect, consequential, or loss of profit claims.
MidniteAI warrants that it will perform the services with reasonable skill and care. We do not warrant that AI systems will be error-free or uninterrupted, and performance may be subject to the availability of third-party platforms.
These Terms are governed by and construed in accordance with the laws of England and Wales. Any disputes arising shall be subject to the exclusive jurisdiction of the courts of England and Wales.
We reserve the right to update these Terms from time to time. Any changes will be posted on this page with the updated date. Continued use of our services after changes are posted constitutes acceptance of the revised Terms.
